What Are Green Bonds?
A green bond is a fixed-income debt instrument where the proceeds are exclusively used to finance or refinance environmentally friendly projects. Unlike regular bonds, green bonds come with a commitment that the money will go to projects with positive environmental impact.
Green bonds follow the ICMA Green Bond Principles (GBP), which have four core components:
- Use of Proceeds: Must go to eligible green projects (renewable energy, energy efficiency, clean transport, sustainable water, pollution control, green buildings, circular economy, biodiversity)
- Process for Project Evaluation: Issuer must communicate environmental sustainability objectives and impact
- Management of Proceeds: Funds must be tracked in a sub-account or sub-portfolio
- Reporting: Annual reporting on allocation and environmental impact

The green bond issuance process in Hong Kong:
- Identify eligible projects: Select assets meeting green criteria (renewable energy, green buildings, clean transport, etc.)
- Develop Green Bond Framework: Document how funds will be used, managed, and reported — aligned with ICMA Principles
- Obtain Second-Party Opinion (SPO): Hire an independent reviewer (e.g., Sustainalytics, DNV, CICERO) to certify the framework
- Engage underwriters: Investment banks structure and market the bond
- Issue and list: Price the bond, allocate to investors, list on HKEX
- Annual impact reporting: Report on fund allocation and environmental outcomes each year
Types of Green Debt Instruments
- Use-of-Proceeds Green Bonds: Funds ring-fenced for green projects (most common)
- Green Revenue Bonds: Repaid from revenue generated by green projects
- Green Sukuk: Sharia-compliant green bonds (growing in Islamic finance markets)
- Sustainability-Linked Bonds (SLBs): Coupon adjusts based on sustainability KPI performance — not use-of-proceeds
- Transition Bonds: For companies transitioning to low-carbon operations
Certification and Verification
Green bonds require independent verification at two stages:
- Pre-issuance: Second-Party Opinion (SPO) or Climate Bonds Certification verifies the framework
- Post-issuance: External reviewer verifies that funds were allocated to green projects as promised
The Climate Bonds Initiative (CBI) provides the Climate Bonds Standard, a rigorous global certification scheme for green bonds.
